Abstract: 

Recent years have seen a number of situations come to light in which relationships of one sort or another have been found to create an undisclosed conflict of interest that compromised the ability of the participants to function independently. The post-Enron crisis in corporate governance has brought about a number of changes in the law, culminating in the Sarbanes-Oxley Act of 2002 (P.L. 107-204) reforms in the federal securities laws.
