Abstract: 

We have been describing in these pages for some time a new (or renewed) interest on the part of the IRS in just how tax-exempt organizations conduct their business. As described elsewhere in this issue, this is somewhat controversial. Many observers feel that the federal taxing agency has no legal mandate for examining governance issues, which have always been regarded as a state law matter, to be enforced by the state attorneys general.
