Abstract:
While stipulating that disciplinary rules in many jurisdictions contemplate legislative and regulatory authority over attorneys representing governments, “conflict of interest” legislation, with blanket and often vague prohibitions, raises significant practical, legal and ethical issues for bond, issuer, and issuer disclosure counsel. This column focuses on questions of legal authority for legislation by local ordinance, and whether local rules may be preempted by a statute, a constitution, or ethical rules.Keywords: Legislative and regulatory authority
